Terms of Service

1. Acceptance of Terms

By creating an account or using RepDesk ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including gym owners and their authorized staff.

2. Description of Service

RepDesk is a cloud-based gym management platform that allows gym owners to manage member records, track membership expiry dates, and receive automated email reminders. We reserve the right to modify or discontinue features at any time with reasonable notice.

3. Free Trial

New accounts receive a 30-day free trial with access to the features currently available in RepDesk. No credit card is required to start the trial. At the end of the trial period, continued access requires a paid subscription. We may send reminder emails before your trial expires.

4. Subscription and Billing

• The subscription price is $49 per month per gym account.
• Billing is currently handled manually by our team rather than through self-serve account billing tools.
• All fees are in USD and are non-refundable except as required by law or at our sole discretion.
• We may change pricing with at least 30 days' written notice. Continued use after the effective date constitutes acceptance of the new price.
• If payment is not completed, we may limit or suspend access after providing notice.

5. Cancellation

You may request cancellation at any time by emailing hello@repdesk.fit. Cancellation timing and any remaining access period will be confirmed by our team based on your current billing status. We do not provide partial-month refunds unless required by law.

6. Acceptable Use

You agree not to:

• Use RepDesk for any unlawful purpose or in violation of any regulations.
• Upload or distribute malware, spam, or harmful content.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Resell, sublicense, or commercially exploit the Service without our written consent.
• Impersonate any person or entity.
• Use the Service to store or transmit content that is illegal, defamatory, or infringes third-party rights.

7. Your Data

You retain full ownership of all data you upload to RepDesk, including your member records. You grant us a limited license to store and process this data solely to provide the Service. We will never sell your data to third parties. See our Privacy Policy for full details.

8. Data Responsibility

You are responsible for ensuring you have the legal right to collect and store personal data for the gym members you add to RepDesk. You must comply with applicable data protection laws in your jurisdiction (e.g. GDPR, PDPA). RepDesk acts as a data processor on your behalf.

9. Uptime and Service Availability

We aim for high availability but do not guarantee 100% uptime. The Service is provided "as is". Planned maintenance will be communicated in advance where possible. We are not liable for losses caused by downtime or service interruptions.

10. Intellectual Property

RepDesk and all its content, features, and functionality - including the software, design, and branding - are owned by us and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or uninterrupted.

12. Limitation of Liability

To the maximum extent permitted by law, RepDesk and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of or inability to use the Service. Our total liability to you shall not exceed the amount you paid us in the 3 months preceding the claim.

13. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. If you need a copy of your data after termination, contact hello@repdesk.fit and we will make reasonable efforts to help while self-serve export tools are still being developed.

14. Changes to Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes will be resolved through good-faith negotiation first. If unresolved, disputes will be subject to binding arbitration.
